Article 1 Name
The name of the association is Asia Semiconductor Trading Support Association(hereinafter referred to as ASTSA(pronounce in /asutosa/),which is called「アジア半導体機構」in Japanese.
Article 2 Purpose
The purpose of ASTSA is to facilitate the international business of Kyushu semiconductor related industry by being an agent between semiconductor related industry of Kyushu and oversea, mainly focus on dramatically grown Asia area; and to assist the integrated development of Asia semiconductor industry.
Article 3 Projects
To the above end, ASTSA conducts the following projects

Article 4 Category of Membership
Members of ASTSA are from members of The International Workshop on Microelectronics Assembling and Packaging (MAP) and the individuals and groups who recognize our purpose.
Article 5 Admission
Anyone who seeking admission as a member of ASTSA shall submit a written ASTSA or The International Workshop on Microelectronics Assembling and Packaging (MAP) application forms for admission。
Article 6 Withdrawal and expulsion
(1) Any member may withdraw form ASTSA shall submit a withdrawal letter with reason.
(2) President may, with the approval of the Board of Directors, submit the expulsion of the member, who did not obey the Articles and related regulations or when any defame affair occurs.
Articles 7 Board of Directors
ASTSA conducts under the approval of Board of Directors.
Articles 8 Formation of Directors
Board is consist of the following Directors
(1) President (2) Vice- President (3) Auditor (4) Directors |

President, Vice-Presidents and Auditors are elected by Directors of the Board. |

New Directors shall be nominated by current Directors, and installed under Board approval. |

The term of office of a Director shall be two years, but reappointment is acceptable. |
Articles 9 Authority of the Board of Directors
Directors conduct the following affairs

President represents ASTSA and integrates all affairs. |
| (2) |
Vice- Presidents assist President; and when President is absent or unable to act authority, Vice- Presidents, in previously arranged order, shall act the duty instead. |
| (3) |
Auditors take responsibility to audit ASTSA accounts. |
Articles 10 Duty of the Board
President shall chair a board meeting and conduct the proceedings as Chairman when necessary.
2. The Board shall discuss and decide the following matters:

Project report and planning |

Report settlement of accounts and plan the budget |
| (3) |
Other necessary matters recognized by general meeting. |
Article 11 Quorum
Board meeting shall only be held when one third of Directors are present.
Article 12 Resolutions
Resolutions shall be passed by approval of over half of present Directors. In the case of a tie, President shall decide the issue.
Article 13 Expense
The project, management and operation expense are from the income of The International Workshop on Microelectronics Assembling and Packaging (MAP) and others.
Article 14 Business year and settlement
The business year of ASTSA shall be from every April 1 through March 31 of the following year. Forthwith after the end of each business year, the documents of settlement of accounts shall be prepared.
2 The above mentioned settlement documents shall be presented in the initial Board meeting of new business year.
Article 15 Office
ASTSA office is set up in Research Dept. of Kyushu Economic Research Center
Article 16 Entrust
Besides noted Articles, Board shall decide the resolution of any important matters related to the operation of ASTSA and this Article.

This Article shall come into force on 2006 October 30.
